Refund and return policy

All contracts for the purchase of products concluded, via the SINEDITALIA websites and in accordance with the procedures specified therein, between the supplier and the customer shall be governed by these General Terms and Conditions.

General Terms and Conditions of Sale

These general conditions of sale (hereinafter only ‘General Conditions’) govern the sale of products marketed and viewable at the time of the order at the addresses (URL) of the SINEDITALIA websites. All contracts for the purchase of products concluded, through the SINEDITALIA websites and according to the procedures indicated therein, between the supplier and the customer, will be governed by these General Conditions.

A – Definitions:

1A.Customer means the physical person who purchases goods and services from the Supplier MPC Srl

registered office via Tortona 21 20144 MILAN; Piva 11811400156.

MPC Srl is the legal person who sells goods or services through the ‘online’ Sale, i.e. the contract stipulated exclusively within the system of distance communication commonly referred to as ‘internet’ on the SINEDITALIA websites.

SINEDITALIAs are understood to be the sites indicated with the company logo that can be found at the web address www.SINEDITALIA.it/.com/es.

B – Acceptance of the general sales conditions

1B. The contract stipulated between MPC Srl and the Client must be understood as concluded with the acceptance, even if only partial, of the order by MPC Srl, which reserves the right, at its sole discretion, to accept the order. Acceptance is considered tacit, unless otherwise communicated to the Customer in any way. By placing an order in the various ways foreseen, the Customer declares having read all the information provided during the purchasing procedure and fully accepts the general conditions and payment conditions transcribed below.

2B. If the Customer is a final consumer (i.e. a natural person purchasing the goods for purposes not related to his or her professional activity), once the online purchase procedure is completed, he or she shall print or save an electronic copy and, in any case, retain these general terms and conditions of sale, in accordance with the provisions of articles 3 and 4 of Legislative Decree no. 206/2005 on distance selling.

3B. Any right of the Customer to damages or compensation is excluded, as well as any contractual or extra-contractual liability for direct or indirect damages to persons and/or property, caused by the non-acceptance, even partial, of an order.

C – Purchase modalities

1C. The Client can only purchase the products present in the electronic catalogue of MPC Srl at the time of the order submission and viewable at the addresses (URL) of the sites of the SINEDITALIA circuit as described in the relative information sheets. The technical information included in the site faithfully reproduces that of the manufacturers of the goods included in the catalogue. MPC Srl, therefore, reserves the right to modify/adapt the technical information of the products to match that provided by the manufacturers, without any prior notice. It is understood that the picture accompanying the descriptive sheet of a product may not be perfectly representative of its characteristics, and may differ in colour, size, and accessories in the picture. All support information for the purchase (Glossary, Purchasing Guide, etc…) is intended as mere general information material, not referring to the real characteristics of each individual product.

2C. The correct receipt of the order is confirmed by MPC Srl by means of a reply via e-mail, sent to the e-mail address communicated by the Client. This confirmation message will report the date of execution of the order and a `Customer Order Number`, to be used in any further communication with MPC Srl. The message will repeat all the data entered by the Customer, who undertakes to verify their correctness and to promptly communicate any corrections, according to the procedures described in this document. It is forbidden for the Customer to enter false, and/or invented, and/or fictitious data in the registration procedure necessary to activate the procedure for the execution of this contract and the relative further communications; the personal data and the e-mail address must be exclusively the Customer’s own personal data and not those of third parties, nor fictitious, MPC Srl reserves the right to legally pursue any violation and abuse, in the interest and for the protection of all consumers. The customer elects domicile in the place indicated in the digital form. By inserting the customer’s telephone number, fax number, and e-mail address, the customer consents to the use of these communication systems by MPC Srl.

The customer may also check the status of his order by accessing the web area dedicated to him using his login and password under ‘POSTSALE’.

3C. In case of non-acceptance of the order, MPC Srl undertakes to promptly notify the Customer, in the same manner.

4C. All prices on the website are to be understood as prices to the public, transport or installation costs excluded. MPC Srl reserves the right to change prices at any time, without prior notice.

5C. On the MPC srl websites, the product quantities available at the time of the order may be visible. Since the simultaneous access of many users-customers and the simultaneous possibility of ‘on line’ orders, modify the availability of the product, MPC Srl does not guarantee the certainty of the assignment of the ordered goods, until the order itself is visible in the ‘POSTSALE’ area with the status ‘IN MANAGEMENT’, provided that the payment or commitment modalities mentioned below have been successfully carried out. The ‘IN MANAGEMENT’ status may therefore change due to non-receipt of payment or invalidity or inconsistency of the data provided by the Customer.

6C. On certain products, subject to price promotions, MPC Srl reserves the right to accept orders by reducing the quantities, subject to prior communication and acceptance by the Customer, failing which the order shall be considered cancelled.

D – Methods of payment

2D.1 Credit Card

When purchasing goods by credit card, at the conclusion of the online transaction, the bank of reference shall authorise the amount of the purchase.

The credit cards accepted are all those based on the Visa, Mastercard and Paypal circuits.

2D.2 In the event of order cancellation, either by the Customer or in the event of non-acceptance of the order by MPC Srl, MPC Srl shall at the same time request the cancellation of the transaction and the release of the committed amount. The cancellation is possible up to the moment of shipment of the goods, except for products ordered by order of the Customer. Cancellation times for some types of cards depend exclusively on the banking system and may be up to their natural expiry date (24th day from the date of authorisation). Once the transaction has been cancelled, in no case may MPC Srl be held liable for any damages, direct or indirect, caused by delay in the failure to release the amount committed by the banking system. In the event of order cancellation, the amount refunded will be in full by credit card or paypal. For payment by bank transfer, the refund will be deducted from the cost of sending the transfer, which depends on the credit institution used for the refund.

2D.3 MPC Srl reserves the right to ask the Customer for additional information (e.g. landline telephone number) or to send copies of documents proving the ownership of the Card used. In the absence of the requested documentation, MPC Srl reserves the right not to accept the order.

2D.4 At no time during the purchase procedure is MPC Srl able to know the information relative to the buyer`s credit card, since it is typed directly on the site of the bank that handles the transaction (with very high security systems); since there is no data transmission, there is no possibility for this data to be intercepted. No computer archive of MPC Srl contains, nor does it store, such data. Therefore, under no circumstances can MPC Srl be held responsible for any fraudulent and undue use of credit cards by third parties, when paying for products purchased on the MPC srl websites.

E – Methods of delivery

1E. MPC Srl can only accept orders with delivery within the territory of the Italian and European state.

MPC Srl will issue an invoice for the material shipped for each order placed on its circuit. For the issuance of the invoice, the information provided by the Customer at the time of the order shall be used. No changes to the invoice will be possible after the invoice has been issued.

2E.Shipping and delivery costs shall be borne by the customer and are explicitly stated when the order is placed. Payment of the goods by the customer shall be made using the method chosen at the time the order is placed. No further expenses or commissions are due to MPC Srl.

3Delivery times for the goods ordered are purely indicative; they may be subject to variations due to force majeure or due to traffic conditions and road conditions in general or by act of authority. Standard delivery, unless otherwise agreed in writing between the parties, will take place at the following times: from 8.30 a.m. to 12.30 p.m.; from 2 p.m. to 6 p.m., every day, non-holiday, from Monday to Friday. Evening deliveries, from 6 p.m. to 9 p.m., or on Saturday mornings or by appointment are foreseen for some regions.

4E.In the case of delivery by express courier, the courier makes the first delivery without prior notice. In the event of the Customer’s absence, the courier leaves a notice and the ordered product returns to the courier’s warehouse in storage . The Customer will be contacted by MPC Srl’s customer service, which will define the delivery details. If, after agreement with MPC Srl’s customer service, the order is not delivered again due to the Customer’s absence, the goods will be returned to MPC Srl, and will remain in MPC Srl’s warehouse for 30 days. The return of the goods at MPC srl’s logistics will be at the customer’s expense. The non-delivery of an order due to the Customer’s non-availability is equated to the rejection of the order.

5E. No responsibility can be attributed to MPC Srl in case of delays in the execution of the order or in the delivery of the ordered goods. MPC Srl does not assume any liability for inefficiencies attributable to force majeure such as accidents, explosions, fires, riots, strikes and/or lockouts, earthquakes, floods, damage to computer systems, system failures, and other similar events that prevent, in whole or in part, the execution of the contract within the agreed time frame.

6E.Upon delivery of the goods by the courier, the Customer shall check

6E.1 that the number of packages delivered corresponds to the number indicated on the invoice;

6E.2 that the packaging is intact, not damaged, not wet or in any case altered, including the sealing materials (adhesive tape or metal strapping). Any damage or the mismatch in the number of packages or indications must be immediately contested to the courier making the delivery, by affixing the wording ‘withdrawal with reservation’ on the appropriate accompanying document and confirmed within seven days in the POST-SALES area or by registered letter with return receipt to the following address MPC Srl – Via Sesto San Giovanni 31 20126 MILAN (MI)

Even in the presence of undamaged packaging, it is always advisable to affix the ‘signature with reserve’ this will allow protection in the event of DOA, the goods must always be checked within seven days of receipt. Any hidden anomalies must be reported in the POSTSALE area or by registered mail with return receipt to the following address: MPC Srl – Via Sesto San Giovanni 31 20126 MILAN (MI)

Any report made after the above deadlines will not be taken into consideration. For each declaration, the customer assumes full responsibility for what is declared. Once the courier’s document has been signed, the Customer shall not be able to make any objection regarding the external characteristics of what has been delivered.

7E. Delivery with evening or Saturday service (only in areas served by the service)

In the case of delivery by evening or Saturday service, the courier shall agree the delivery date and time with the Customer by telephone. In case of absence of the addressee, the Customer will be contacted by MPC Srl’s customer service with whom he will define the delivery details. If, after agreement with MPC Srl’s customer service, the order should not be delivered again due to the Customer’s absence, the goods will be returned to MPC Srl and will remain in storage at MPC Srl for 30 days. The return of the goods at MPC srl’s logistics will be at the customer’s expense. The non-delivery of an order due to the Customer’s non-availability is equivalent to the rejection of the order.

8E. Delivery by appointment service (only in areas served by the service)

In the case of delivery by appointment service, the courier will agree by telephone with the Customer on the date and time of delivery, which will take approximately 4 hours. In case of absence of the addressee, the Customer will be contacted by MPC Srl’s customer service with whom he will define the delivery details. If, after agreement with MPC Srl’s customer service, the order should not be delivered again due to the Customer’s absence, the goods will be returned to MPC Srl and will remain in storage at MPC Srl for 30 days. The return of the goods to MPC srl’s logistics will be at the customer’s expense. The non-delivery of an order due to the Customer’s non-availability is equated to the rejection of the order.

In the case of delivery without notice, MPC srl is not responsible for how the courier manages appointments with the Customers. For this reason MPC srl will not reimburse the costs of the difference between express delivery and delivery by appointment, it can only open a claim with the courier.

F – Delivery Charges

1F. The delivery costs of the goods shall be added from time to time as indicated in the order procedure and shall be borne by the customer.

G – Right of Withdrawal

1G. According to art. 5 D.lgs. N. 185/1999, if the customer is a consumer (ie a person who buys goods for purposes not related to his professional activity, or does not make the purchase by indicating in the order form to MPC Srl a reference to VAT), has the right to terminate the purchase contract for any reason within 14 days of delivery of the product without penalty and without prejudice to what is indicated in paragraph 3 below.

2G. In order to exercise this right, the customer must send a request in the ‘POST-SALES’ area or by fax to +39 02700520906 in which it will also be necessary to indicate the bank details required to return the sums paid; MPC Srl’s customer service will send the customer by e-mail a product return authorisation, which must be printed and sent by registered letter with advice of receipt within 10 days from the date of receipt of the goods to

Once the registered letter has been received, MPC Srl will send an e-mail to the client authorizing the withdrawal with an authorization number that must be attached to the outside of the wrapping in which the product will be physically placed and sent to MPC within 30 days from the authorization.

In the event of a dispute by the customer on automatic payment systems (e.g. Paypal Amazon or other) the withdrawal is blocked. It is not possible to open a dispute at the same time as the withdrawal, this causes the withdrawal to be cancelled.

3G. The right of withdrawal is, however, subject to the following mandatory conditions:

3G.1 the right applies to the purchased product in its entirety; it is not possible to exercise withdrawal only on part of the purchased product (e.g.: accessories, attached software, etc.);

3G.2 the right does not apply to sealed foodstuffs, audiovisual products or computer software (including those attached to hardware), once opened. In particular for products that need to be assembled (fans) or any other used products.

3G.3 the purchased goods must be returned intact in their original, unopened packaging, complete in all their parts (including packaging and any documentation and accessory equipment: manuals, cables, etc…); in order to limit damage to the original packaging, we recommend that it be over-wrapped as when the product was delivered. If not available, it is possible to use an anonymous box on which to affix the RMA number (Return Merchandise Authorisation Number) issued by MPC Srl; in all cases the affixing of labels or adhesive tapes directly on the original product packaging must be avoided;

3G.4 the goods subject to the exercise of the right of withdrawal must bear the same serial number as that indicated on the MPC Srl sales invoice; if the goods should bear a different serial number than that indicated on the invoice, the return will not be accepted and the product will be made available to the client for its return, at the same time cancelling the request for withdrawal

3G.5 shipping costs related to the return of the goods shall be borne by the customer;

3G.6 the shipment, until the certificate of receipt in our warehouse, is under the full responsibility of the customer;

3G.7 in the event of damage to the goods during transport, MPC Srl will inform the customer of the incident (within 7 working days from receipt of the goods in its warehouses), so that he/she can file a timely complaint against the carrier he/she has chosen and obtain reimbursement of the value of the goods (if insured); in this case, the product will be made available to the customer for its return, at the same time cancelling the request for withdrawal;

3G.8 MPC Srl shall not be liable in any way for damage to or theft/loss of goods returned by uninsured shipments;

4G. The right of withdrawal is totally forfeited, due to the lack of the essential integrity condition of the goods (packaging and/or its content), in cases where it is ascertained that

4G.1 Even partial use of the goods and of any consumable materials

4G.2 The lack of the external packaging and/or of the original internal packaging;

4G.3 The absence of integral elements of the product (accessories, cables, manuals, parts, …);

4G.4 Damage to the product for reasons other than transport.

4G.5 The right of withdrawal cannot be exercised by customers purchasing with VAT number.

4G.6 Customised or made-to-measure products or products requested with particular specifications that go beyond the standard products on sale on the site (see artistic products, tailoring, furniture, ect)

4G.7 Products once installed or assembled (e.g. ceiling fans, air conditioners, ect) are not eligible for the right of withdrawal

4G.8 It is not possible to apply the right of withdrawal on products broken under warranty.

5G. Without prejudice to any repair costs for ascertained damage to the original packaging, MPC Srl will refund the customer the full amount already paid, within 20 days from the return of the goods, by transferring the amount charged to the Credit Card or by Bank Transfer. In the latter case, it shall be the customer`s responsibility to promptly provide the bank details on which to obtain reimbursement (ABI – CAB – Current Account – IBAN of the invoice holder). With reference to d.gs.21 of 21/12/2014, the customer shall be reimbursed in full, including outward shipping costs, if the product is returned to the warehouse intact without having been opened by the customer for viewing. In the event that the product is viewed assembled and tested and this involves checking the product in its functionality, the withdrawal will be accepted with partial refund.

6G. MPC srl is not responsible for agreements between Customers and Suppliers or Manufacturers in the case of special withdrawal rights. It warns the Customers that the products must absolutely follow the handling procedure and return to the agreed warehouse .

H- Cancellation or Rejection.

1H. The Client may request the cancellation of a purchase order if, at the time of the cancellation request, the order is still being prepared and has not been delivered to the flap for shipment.

If, at the time of the cancellation request, the product has already been handed over to the courier, the Customer shall collect the product and subsequently exercise the right of withdrawal. In the event of refusal of the product or failure to collect it at the time of delivery due to second thoughts or otherwise, the Customer shall be charged for the return of the product, administrative and logistical costs, and storage at the courier in the event of order backlog.

I – Guarantees

1I. All products marketed by MPC Srl are covered by the conventional manufacturer`s warranty and by the 24-month warranty for conformity defects, pursuant to Legislative Decree No. 24/02. In order to benefit from the warranty service, the Customer must keep the invoice (or the delivery note) that he will receive together with the purchased goods.

2I. If, following an intervention by an Authorized Assistance Centre, the defect should turn out not to be covered by the manufacturer`s conventional warranty, the Customer will be charged for any verification and repair costs requested by the Authorized Assistance Centre, as well as transport costs, if incurred by MPC Srl.

3I. The 24-month warranty pursuant to Legislative Decree no. 24/02 is applied to the product presenting a conformity defect, provided that the same is used correctly, in compliance with its intended use and with what is set forth in the attached technical documentation. This guarantee, in accordance with Legislative Decree No. 24/92, is reserved exclusively for private consumers (natural persons who purchase goods for purposes not related to their professional activity, i.e. making a purchase without indicating a VAT number on the order form). In case of a conformity defect, MPC Srl will provide, without any expense for the Client, for the restoration of the product`s conformity through repair/replacement or reduction of the price, up to the termination of the contract. If, following an intervention by an Authorized Assistance Centre, a conformity defect according to the Italian Legislative Decree no. 24/02 does not result, the Customer will be charged for any verification and restoration costs requested by the Authorized Assistance Centre, as well as the transport costs if incurred by MPC Srl.

4I. Replacements in the event of DOA (Dead On Arrival: product not working at first start-up), subject to the subsistence of the prerequisites for the application of Legislative Decree no. 24/02, take place only if expressly provided for by the manufacturer. The timing of replacement or eventual repair of the product depends exclusively on those indicated by the manufacturer. The return of the product with DOA problems may take place through the Italian Assistance Network if made available by the manufacturer. In case ‘no’ Assistance Centres are available, MPC srl will assess with the client the product return for repair or replacement.

5I.In the event that, for any reason, MPC Srl is not able to replace or restore a product under warranty, it may proceed, with the client’s consent, to replace the product itself with another one of equal characteristics and value or, finally, to issue a discount voucher of equal amount expendable on another product valid for 6 months from the moment of issue.

6I. No damages can be requested from MPC Srl for any delays in carrying out repairs or replacements of products under warranty.

7I. In cases where the application of the warranties provides for the return of the product, the goods must be returned by the Customer in their original packaging, complete in all its parts (including packaging and any documentation and accessory equipment: manuals, cables, etc. …); in order to limit damage to the original packaging, we recommend, when possible, to put it in a second box; in all cases, the application of labels or adhesive tapes directly on the original product packaging must be avoided.

8I. The Customer for the management of the product under warranty shall inform MPC srl by entering the file in the POSTSALE area. The competent office will reply with an e-mail sending an Authorisation Number. Within 7 working days from the sending of the RMA form, the goods must be returned to the MPC Srl warehouse for verification and control.

L – Privacy

1L.The personal data requested when placing an order are collected by MPC Srl and processed on computerized supports, in order to meet the obligations arising from the contract concluded with the Customer and will not be transferred to third parties under any circumstances or for any reason. MPC guarantees its clients the respect of the regulations on the processing of personal data, governed by the privacy code as per Legislative Decree No. 196 of 30.06.03.

The Data Controller is MPC Srl, via Tortona 21 20144 Milan (MI)

in the person who has the legal representation from time to time, unless a person in charge is appointed pursuant to Art. 29 of Legislative Decree No. 196/2003.

The Customer, at any time, has the right to revoke his/her consent to the processing of personal data by means of a written communication to be sent to MPC Srl’s head office. The Customer, who declares that he/she has received the information pursuant to Article 13 and about his/her rights, in accordance with Article 7 of the Legislative Decree no. 196/2003, has the right to access his/her own data according to the modalities provided for therein. By registering in the shops of the MPC srl Circuit, the Customers’ data will be processed to send marketing communications only and exclusively related to the Circuit itself. Automatic cancellation systems are made available to Customers.

M – Complaints

1M. Any complaint must be addressed to MPC Srl, by email rma@SINEDITALIA.it or by tel +39 0221117815 / RMA office we warn that in order to ensure an excellent service to our customers, the call may be monitored or recorded.

N – Jurisdiction and Applicable Law

1N.The sales contract between the Customer and MPC Srl is understood to be governed by Italian Law. For the solution of civil and criminal disputes arising from the conclusion of this distance sales contract, if the Customer is a consumer, the territorial jurisdiction is that of the court of reference of his municipality of residence; in all other cases, the territorial jurisdiction is exclusively that of the Court of Milan.

O – Conditions

1O.The conditions contained in this document may be modified by MPC Srl without prior notice and will be valid from the date of publication on the SINEDITALIA circuit websites.

In order not to create any doubts on the modalities of withdrawal or cancellation or rejection of the goods, we will be as descriptive as possible in order to give maximum transparency to all our customers:

WITHDRAWAL only for customers who purchase with a tax code.

Within 14 days of the purchase, you can inform us of your withdrawal by entering the POSTSALE area.

A reply email will inform you if the product can be returned and how to prepare the product return package. Then follow the procedure indicated in the email that the system sends.

Please note that there are some items that do not fall under the return modality and these are all the products that have been opened and installed and the products listed in the sales contract. The problem arises because some products once installed can no longer be reused (e.g. ceiling fan blades).

WE THEREFORE ADVISE YOU TO CHECK CAREFULLY FROM THE PRODUCT DESCRIPTION WHETHER IT IS SUITABLE FOR YOUR NEEDS.

G – Right of Withdrawal

1G. Pursuant to art. 5 D.lgs. N. 206/2005, if the customer is a consumer (i.e. a natural person who buys goods for purposes not related to his professional activity, or does not make the purchase by indicating in the order form to MPC Srl a VAT number), has the right to withdraw from the purchase contract for any reason within 14 days from delivery of the product without penalty and without prejudice to what is indicated in paragraph 3 below.

2G. To exercise this right, the customer must send a request in the ‘POST-SALES’ area or by fax to +39 02700520906 in which it will also be necessary to indicate the bank details required to return the sums paid; MPC Srl’s customer service will send the customer by e-mail a product return authorisation that must be printed and sent by registered letter with advice of receipt within 14 days from the date of receipt of the goods to MPC MAGAZZINO QUARTU Via Pietro Mascagni 134 QUARTU SANT’ELENA 09045 CA ITALIA T +39 3357600875

Once the registered letter has been received, MPC Srl will send an e-mail to the client authorising the withdrawal with an authorisation number which must be attached to the outside of the wrapping in which the product will be physically placed and sent to MPC within 10 days from the authorisation.

3G.5 Shipping costs in connection with the return of the goods shall be borne by the customer;

3G.6 the shipment, until the certificate of receipt in our warehouse, is under the full responsibility of the customer;

3G.7 in case of damage to the goods during transport, MPC Srl will inform the customer of the incident (within 7 working days from the receipt of the goods in its warehouses), in order to allow him/her to file a timely complaint against the carrier chosen by him/her and to obtain reimbursement of the value of the goods (if insured); in this case, the product will be made available to the customer for its return, at the same time cancelling the request for withdrawal;

3G.8 MPC Srl is not responsible in any way for damages or theft/loss of goods returned with uninsured shipments;

4G. The right of withdrawal is totally forfeited, due to the lack of the essential integrity condition of the goods (packaging and/or its content), in cases where it is ascertained that

4G.1 Even partial use of the goods and of any consumable materials

4G.2 The lack of the external packaging and/or of the original internal packaging;

4G.3 The absence of integral elements of the product (accessories, cables, manuals, parts, …);

4G.4 Damage to the product for reasons other than transport.

4G.5 The right of withdrawal cannot be exercised by customers purchasing with VAT number.

4G.6 Customised or made-to-measure products or products requested with particular specifications that go beyond the standard products on sale on the site (see artistic products, tailoring, furniture, ect)

4G.7 Products that have been installed or assembled (e.g. ceiling fans, air conditioners, etc.) are not eligible for cancellation.

4G.8 It is not possible to apply the right of withdrawal on products broken under warranty.

5G. Without prejudice to any repair costs for ascertained damage to the original packaging, MPC Srl will refund the customer the full amount already paid, within 20 days from the return of the goods, by transferring the amount charged to the Credit Card or by Bank Transfer. In the latter case, it shall be the customer`s responsibility to promptly provide the bank details on which to obtain reimbursement (ABI – CAB – Current Account – IBAN of the invoice holder).

6G. MPC srl is not responsible for agreements between Customers and Suppliers or Manufacturers in the case of special withdrawal rights. It warns Customers that the products must absolutely follow the handling procedure and return to the agreed warehouse.
